                             TERMS OF USE AND NOTICES 

The Thought Bridge Network (and ThoughtBridgeNetworks) Web site is comprised of various Web sites and Web pages operated by Thought Bridge Network or its affiliates. These Web sites will be collectively referred to in this agreement as "Thought Bridge" and the "Thought Bridge Network." or "ThoughtBridgeNetworks". This Agreement applies to the Thought Bridge Network collection of Web sites. You will need to read this Agreement in its entirety to review the general provisions of the Terms of Use and Notices and Additional Terms specific to the product or service for which you are now signing up.

The Thought Bridge Network is offered to you conditioned on your acceptance without modification of these Terms of Use and Notices. Your use of the Thought Bridge Network constitutes your agreement to these Terms of Use and Notices. Your use of a particular Thought Bridge Network Web site included within, or acceptance of a product, service or benefit obtained through the Thought Bridge Network, may also be subject to additional terms specified in this document, on the applicable Thought Bridge Network Web site or in other accompanying documentation (as such terms may be modified by the Thought Bridge Network from time to time as described below in the "Additional Terms"). If you do not have print capability or otherwise desire to obtain a hard copy of these Terms of Use and Notice, please contact Thought Bridge customer service by emailing support@thoughtbridgenetwork.com.

If any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within or applicable to any particular Thought Bridge Web site, service, product or benefit, then the applicable Additional Terms shall control. You agree to familiarize yourself with the Terms of Use and Notices, including the Additional Terms, and other terms and guidelines found throughout the Thought Bridge Network and abide by them if you choose to use the sites, or accept the products, services or benefits, to which such terms apply.


Terms and conditions of our Affiliate Program: These terms and conditions govern your participation in our Affiliate Program. By participating in our Affiliate Program, you acknowledge that you agree to these terms and
conditions. If you do not agree, then you cannot participate. 

Affiliate Program: When you become an affiliate in our Affiliate Program, we will provide you with marketing links ("Links") to use on your website (the "Website") or in your email messages ("Email"). By clicking on a Link, visitors to your Website or recipients of your Email (collectively, "consumers") will be transported directly to product sales pages maintained by us ("Thought BridgeNetwork.Com") featuring Links to various Thought Bridge Network affiliated web sites maintained by us and originating from Thought BridgeNetwork.Com. 

Wherever this Agreement refers to "you" or "your," it means you, the applicant (as listed in the Pay to Name field of the Affiliate Application) to participate as an affiliate in our Affiliate Program; "we," "us" or "our" refers to Joel S. Batzell, doing business as Thought Bridge Network, Thought Bridge, ThoughtBridgeNetwork.Com, Thought Bridge.Org, and any other connection of the words Thought Bridge connected together or apart, in sequence, or any of the derivatives where by Thought Bridge is the beginning of the phrase.

Payments to You For Sales Attributable to Links on Your Website or Email: You will earn 12% of the net revenue from sales on Thought Bridge Network that we, in our sole discretion, determine originate from Links on your Website or Email ("qualifying sales"). Net revenue only includes credit card payments actually collected by us from consumers and does not include any charges to consumers for sales tax, other taxes or shipping and handling charges. Please note that we maintain the sole right to determine whether a commission is due and that you may not be entitled to a commission if a customer initially visits our site through a Link on your Website and doesn't buy anything but subsequently visits our site through a Link on another person's site or directly visits our
site and purchases at that time. 

Thought Bridge also reserves the right to deem any site inappropriate and terminate the site as a member of the Thought Bridge Network, at any time without notice. If you are terminated from the service for violation of the Terms of Use and Notices, Thought Bridge may withhold money you earned within the service or money that you owe within the service. 

LINKS TO THIRD PARTY SITES
Links within the Thought Bridge Network may let you leave the Thought Bridge Network. You acknowledge that the linked sites are not under the control of Thought Bridge and that Thought Bridge is not responsible for the contents or operation of such linked sites or any link contained in such linked site, or any changes or updates to such sites. Thought Bridge is not responsible for web-casting or any other form of transmission received from any linked site. Thought Bridge is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Thought Bridge of the linked site or any association with their operators.

USE OF COMMUNICATION SERVICES 
The Thought Bridge Network may contain bulletin board services, chat areas, news groups, forums, communities, personal and business web pages, electronic mail postings and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service, and to comply with all applicable laws and these Terms of Use and Notices. By way of example, and in addition to above acceptable use limitations, you agree that when using a Communication Service, you will not: 

* Advertise or offer to sell or buy any goods or services, unless such Communication Service specifically allows such messages;
* Falsify, delete or alter any material, author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of material contained in a file that is uploaded via the Communication Services;            
* Restrict or inhibit any other user from using and enjoying its rights in the Communication Services; * Violate any code of conduct or other guidelines that may be applicable for any particular Communication Service;
* Harvest or otherwise collect information about others, including e-mail addresses, without their express consent;
* Link the Communication Services to any unsolicited communication sent to any third party, or otherwise use or mention the Communications Services in connection with any such unsolicited communication; or,
* Violate any applicable laws or regulations.

THOUGHT BRIDGE BANNER NETWORK
Thought Bridge reserves the right to verify through any means the placement and correctness of the Thought Bridge HTML code provided to you in connection with your participation in the Banner Network, and you hereby grant Thought Bridge the right to access your banner and web site in connection with this purpose. You acknowledge that the Thought Bridge Network is a sponsor supported service provided to you free-of-charge, unless you are a Premium member, and that at any given time the Thought Bridge HTML code incorporated into your web site may display an advertisement from a sponsor. All Thought Bridge HTML code must be placed on a page in your web site in a position where the majority of people visiting that page will see and notice the banner ad displayed via the HTML code. Thought Bridge reserves the right to deactivate accounts, with or without notice: (a) that display an inordinate number of banners for or links to competing banner exchange services; (b) that contain little or no original content; (c) if Thought Bridge HTML code appears on an inordinate number of dynamically-generated pages; or, (d) for any violation of the items listed below or elsewhere in these terms and notices. Without limiting the foregoing, in connection with your participation in the Banner Network you may not: 
* artificially inflate traffic counts to your web site using any device, program or other means;
* insert more than one Thought Bridge HTML code on any single web page on your web site;
* include the Thought Bridge HTML code on any pages of your web site that automatically reload or go to another page without interaction from the user (e.g., client pull or server push technology, METETAG reload, or refresh command on page html);
* include the Thought Bridge HTML code on any web page that is not generally accessible to all Internet users (e.g., pop-up windows and hidden frames); 
* place any Thought Bridge HTML code on web page that is unrelated to your web site; 
* place any content on the banner or website that is: disrespectful to another person or business; express political, personal or any other opinions; include any offensive words, symbols or graphics; contain any sexual content, innuendoes, offensive gestures or anything perceived as such; models in swimsuits; nudity or images in sexual positions; online gambling; anarchist cookbooks or similar content; or promote or conduct any type of illegal activity; and,
* other limitations as outlined in this Agreement.

You acknowledge and agree that your web site information (name, URL, traffic counts, etc.) may be utilized by Thought Bridge and disclosed to third parties (e.g., lists of the busiest sites, lists of member sites, etc.). You agree to allow Thought Bridge to use screen shots of any web page that contains Thought Bridge HTML code in Thought Bridge promotional materials, and represent and warrant that you have the authority sufficient to grant the foregoing rights. 

You agree that Thought Bridge reserves the right to remove your banner ad and website from the service, at any time, without notice, for a violation of these guidelines or for any other reason. 

You agree that Thought Bridge may, at it's discretion, choose to re-rate and re-categorize your banner ad from the initial rating and category you selected, in management of the site and accept this may impact the banner ads that run on your site and on which sites your banners ads may run. While Thought Bridge will make an effort to notify you when this occurs, Thought Bridge reserves the right to do at any time, with or without notice. 

Thought Bridge makes no guarantee about the reliability or accuracy of any of our products or services, or the results obtained from using these products or services. You shall release, and defend, indemnify and hold Thought Bridge harmless, from any and all third party claims, losses, liability costs and expenses (including but not limited to attorneys' fees) arising out of or related to, or results obtained from, your use of these products or services.

E-COMMERCE RESOURCES AND OTHER RESOURCES
You acknowledge that the links set forth in these sections are provided solely for your convenience, and are links to third party sites for which Thought Bridge is not responsible. Thought Bridge is not responsible or liable for any content or advice set forth on or received through such linked third party sites, and you acknowledge that your use of these linked sites may be subject to different terms of use than apply to the Thought Bridge Network.

IN NO EVENT SHALL THOUGHT BRIDGE NETWORK WEB SITES AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF Thought Bridge NETWORK OR RELATED SERVICES, WITH THE DELAY OR INABILITY TO USE ANY THOUGHT BRIDGE NETWORK WEB SITES OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THOUGHT BRIDGE NETWORK WEB SITES, OR OTHERWISE ARISING OUT OF THE USE OF THOUGHT BRIDGE NETWORK WEB SITES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THOUGHT BRIDGE NETWORK WEB SITES OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF Thought Bridge NETWORK, OR WITH ANY OF THESE TERMS OF USE AND NOTICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THOUGHT BRIDGE NETWORK WEB SITES AND ITS RELATED SERVICES. Without limiting the foregoing, Thought Bridge is not responsible for any of your data residing on any Thought Bridge web site and/or Thought Bridge Network web sites hardware. You are responsible for backing-up your data and information that may reside on the Thought Bridge Network web sites hardware, whether or not such information is produced through the use of  Thought Bridge Network web sites. It is your responsibility to take the necessary steps to ensure your primary means of business is maintained. 

You may terminate your participation in the Affiliate Program at any time and for any reason or for no reason. This Agreement, and your participation in the Affiliate Program, may be terminated by us at any time and for any reason, or for no reason. Commissions earned through the date of termination of this Agreement will remain payable only if the amounts paid by a consumer are not refunded and only if this Agreement was not
terminated for cause by us for any of the reasons specified above. 

Modifications: We reserve the right to change any of the terms and conditions in this Agreement, including changing the fee amounts payable to you, at any time and in our sole discretion, by posting a new agreement on our website and notifying you of its existence by email. Your continued use of the Links will indicate acceptance of such revised agreement. 

Warranty Disclaimer: Due to the nature of internet availability and accessibility, we cannot guarantee that there will be no downtime or other interruptions in service regarding the Links and/or Thought Bridge Network Web Sites. Without limiting the above, the Links, Thought Bridge Network and it's web sites and any other materials provided to you are provided "As Is," without any warranty of any kind, and we make no warranties, express or implied, by operation of law or otherwise, and expressly disclaim all warranties, express, implied or statutory, including without limitation any
implied warranties of title, non-infringement, merchantability or fitness for a particular purpose. Some states limit the ability to disclaim warranties, so this clause may not apply to you. 

Limitation of Liability: You acknowledge and agree that we will have no liability to you for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, you acknowledge and agree that our aggregate liability to you arising under or with respect to this Agreement or the Affiliate Program will in no event exceed $50. Some states restrict the ability to limit liabilities, so this clause may not apply to you. 

Ownership: The Links and all user data collected pursuant to this Agreement are, as between you and us, our property and we own all right, title and interest in the Links and the user data. You have no right to use any derivative of the Thought Bridge name except for placing the Links on your Website or Email. To learn more click here.
